1. Who we are and what these terms cover
The Solvecha partner program is run by Marin Solutions UG (haftungsbeschränkt), Nahariyastr. 34, 12309 Berlin, Germany (“we”). See the Imprint. These terms apply between us and every person or company that is approved as a partner (“you”). They are an addition to the Terms of Service and the Acceptable Use Policy, which apply to your Solvecha account as well.
2. Who can join, and approval
- You can apply if you are at least 18 years old, you have a Solvecha account with a confirmed e-mail address, and you act as a business or freelancer (Section 14 BGB). The program is not for consumers who act privately.
- You apply in the partner area of the dashboard. You give your website or channel, a short description, your country, your VAT ID (if you have one), and your payout details.
- We approve or reject each application at our own discretion. We do not have to give a reason. The contract starts when we approve your application. You can see the status in the dashboard.
- You must give correct information and keep it up to date. This includes your payout details and your VAT status.
3. Commission, term and launch bonus
- You earn 20 % of the commissionable revenue (section 4) of each customer that is tied to you (section 7).
- The commission runs for 24 months, counted separately for each customer from that customer's first payment. After that we pay no commission on that customer.
- Launch bonus. The first 10 partners that we approve earn 30 % instead of 20 % on each customer for the first 12 months, counted from that customer's first payment. After that the rate is 20 % until month 24. The order of approval decides who is a launch partner. We tell you in the dashboard if you are one.
- Commissions are calculated and paid in US dollars.
4. What counts as commissionable revenue
- Only money that a customer has really paid to us counts: payments for subscriptions and top-ups of the prepaid balance.
- We count the net amount: without VAT, and after refunds, credits and chargebacks.
- These earn nothing: use of the free tier, plans and balance that we grant or give as a gift or correction, payments that were refunded or charged back, and customers that were flagged as self-referrals (section 7).
- Use of the service that is paid from a balance is not counted a second time. The top-up counts, not the use.
5. Hold period, payout and invoices
- A commission is released 30 days after the customer's payment. This is the time for refunds and chargebacks. Until then it is shown as pending.
- You can ask for a payout when your released commission is at least $20. If it is less, it carries over to the next period. The remaining amount after a payout carries over as well.
- We pay only against an invoice from you. With each payout request you upload a PDF invoice (up to 5 MB) for the amount. The invoice must show your name and address, our company name and address, the amount, the date and an invoice number. If you are liable to charge VAT, it must show the VAT. We check the invoice. We can reject an invoice that is wrong and ask for a new one.
- We may offer a credit note procedure by agreement, where we issue the document on your behalf. Without such an agreement, the invoice rule applies.
- You are paid by PayPal or by bank transfer (IBAN), as you chose in your payout details. We pay the fees of sending the payment. You pay the fees of your own bank or PayPal account, and any currency conversion on your side.
- Before a payout we may deduct amounts that were refunded or charged back after release, and amounts that you owe us under section 9.
6. Taxes
You are responsible for your own taxes and duties on what we pay you, including income tax and VAT. We do not give tax advice. We do not withhold taxes unless the law requires it. A commission is a fee for your service as a partner. Whether VAT applies depends on your country and status, and you show it on your invoice. You tell us your VAT ID if you have one.
7. Tracking and attribution
- Your partner link is
https://solvecha.com/?ref=<code>or the short linkhttps://solvecha.com/r/<code>. When a visitor opens it, the code stays in the address of the page and in the links of our site (?ref=) until the sign-up form. We store nothing in the visitor's browser and set no cookie. The Privacy Policy describes this. - Same visit. The customer is tied to the partner when the account is created, if the sign-up page was reached through your link in the same visit. A visitor who leaves and comes back later without your link is not tied. For such customers, an integration can send your code (next point).
- An integration can also send a code: in the
X-Solvecha-Partnerheader, in the body fieldpartner, or asappIdorsoftIdin a CapSolver-stylecreateTaskrequest. This only ties a customer who has no partner yet and has not paid anything yet. It never changes a customer who is tied already and it never takes over a paying customer. A code that is unknown is ignored. - A customer is tied to one partner, once. You cannot change, move or remove a tie. If we make a correction, for example after a mistake or abuse, we record who made it, when, and why.
- No self-referral. You may not tie yourself, your company, your employees acting for you or accounts you control to your own code. We flag a sign-up when it shows the same account, the same mailbox, the same sign-up network, or the same PayPal address or Stripe customer as you. A flagged customer earns nothing. We may look at more signs of a self-referral to decide.
- We keep records of clicks, ties and payments. These records decide, unless you show that they are wrong. We try to be fair, but we do not promise that every visit or sign-up is counted, for example if a visitor removes the code from the address.
8. Conduct
You must:
- show clearly that your link is an affiliate link and that you earn a commission, in a way that a normal reader notices before they click (for example “affiliate link” next to the link, in the README of a tool, or in the video and its description);
- follow the law, including the rules on advertising, on the marking of paid recommendations, and on data protection;
- send only a partner code that belongs to you, and keep the API base URL of a tool visible to its users.
You may not:
- send spam, in e-mail, in comments, in forums or in messages, or post links where they are not wanted;
- make misleading or false claims about Solvecha, its prices, its results or your relation to us, or claim to be Solvecha;
- bid on “Solvecha” or on close variants of the name (including typing mistakes) as keywords in search ads, or buy domains or social accounts that look like ours;
- use our name, logo or brand in a way that is not allowed. You may name Solvecha to describe the service, without suggesting that we endorse you;
- pay or reward people to sign up or to pay (incentivized sign-ups), or run cashback, coupon or rebate sites, unless we approved this in writing;
- create fake accounts or fake payments, or refer yourself, or use bots or hidden iframes or any other method to force a click;
- promote the service for fraud, spam, account takeover or any other use that breaks the Terms of Service or the Acceptable Use Policy, or run your promotion on sites with illegal content.
9. Consequences of a breach
If you break these terms, or we have good reason to think so, we may, depending on how serious it is: reject or remove commissions that are linked to the breach, hold back payouts while we check, reverse commissions that we already paid and deduct them from later payouts or ask you to pay them back, remove the tie of the affected customers, suspend your partner account, or end the contract at once. We tell you the reason, unless the law forbids it. You can answer, and we review your answer.
10. Changes to the program and to these terms
- We may change the program and these terms, for example the rate for new customers, the payout methods or the rules of conduct. We tell you by e-mail at least 30 days before the change takes effect, with the new version.
- A change does not reduce commissions that were already earned. For customers that were tied before the change, the new terms apply only to payments made after the change takes effect.
- If you do not agree, you can end the contract before the change takes effect (section 11). If you keep working as a partner after that date, the new terms apply to you.
- The version of the terms that you accepted is saved with your application. The version number is at the top of this page.
11. Term and termination
- The contract has no fixed term. You can end it at any time with a message to us or in the dashboard. We can end it with 30 days’ notice. Each side can end it without notice for good cause. A serious breach of section 7 or 8 is good cause.
- Commission that you earned until the end is still paid under these terms, as far as it is released and not affected by a breach. The terms of section 5 and 6 still apply to it.
- The 24-month term of a customer continues after the contract ends, unless we ended it because of abuse. A customer who was tied to you stays tied to you for that term. We pay the commission on it as before, as long as you can give us a valid invoice.
12. Liability
- We are fully liable for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and where we gave a guarantee.
- For slight negligence we are liable only if we break an essential contractual duty, and then only for the damage that is typical and foreseeable for this kind of contract. We are not liable for other damage caused by slight negligence, including lost profit.
- We give no promise that you earn a certain amount, that the service is always available, or that every sign-up is counted. You act at your own risk and cost when you promote the service.
- You are liable to us for damage that comes from a breach of section 8, for example from a claim of a third party that is caused by your promotion. You free us from such claims, as far as you are responsible for them.
13. Data protection
We process your partner data and the data of the customers you refer as the Privacy Policy describes. A partner sees only an anonymous label of each referred customer, with revenue and commission, and never a name or an e-mail address. You are responsible for your own marketing and for the data that you process for it. You may not try to find out who a referred customer is.
14. Law and place of jurisdiction
The law of the Federal Republic of Germany applies. The UN Convention on Contracts for the International Sale of Goods does not apply. The place of jurisdiction is Berlin, as far as the law allows this.
15. Final provisions
If a part of these terms is invalid, the rest stays valid. The law replaces the invalid part. We send notices to the e-mail address of your account. You can reach us at [email protected] or through the contact form.
